1. Purpose
This Non-Disclosure and Confidentiality Statement (“Statement”) explains how VRL PRO DIGITAL (“Company,” “we,” “our,” or “us”) protects confidential information shared by our clients, partners, and collaborators (“Client,” “you,” or “your”).
We understand the importance of safeguarding sensitive business data, intellectual property, and trade secrets, and we commit to treating all client information with the highest level of security and confidentiality.
2. Scope of Confidential Information
“Confidential Information” refers to any non-public information disclosed by the Client to VRL PRO DIGITAL, including but not limited to:
- Business plans, strategies, and financial information
- Marketing data, research, and performance metrics
- Customer lists, supplier/vendor information, or lead databases
- Branding assets, creative briefs, logos, and proprietary designs
- Campaign strategies, ad copies, reports, and analytics
- Technical information (source code, website credentials, software, APIs)
- Login credentials for hosting, domains, ad accounts, social media, or CRMs
- Any documents, files, or communications marked “confidential”
3. Non-Disclosure Obligations
VRL PRO DIGITAL agrees that:
- Confidential Information will only be used for the purpose of providing agreed services.
- Confidential Information will not be disclosed to any third party without prior written consent, except:
- Employees, contractors, or partners who need the information to deliver services, and who are bound by confidentiality obligations;
- Where required by law, regulation, or government order.
- Confidential Information will be stored securely with restricted access.
- Upon completion or termination of services, VRL PRO DIGITAL will return or destroy confidential data if requested by the Client (except where retention is legally required).
4. Exclusions from Confidentiality
The obligations in this Statement do not apply to information that:
- Was already publicly known at the time of disclosure;
- Becomes publicly available without breach of this Statement;
- Was independently developed by VRL PRO DIGITAL without using Client information;
- Was lawfully obtained from a third party without restriction.
5. Mutual Responsibilities
- Client Responsibility: The Client agrees to share only information necessary for service delivery and to ensure proper licensing/ownership of provided assets.
- VRL PRO DIGITAL Responsibility: We will implement strict internal controls, including limited-access policies, secure communication channels, and encryption where possible.
6. Data Security Measures
VRL PRO DIGITAL employs industry-standard practices to protect Client data, including:
- SSL-secured communications and encrypted file transfers
- Password-protected project management tools
- Role-based access for employees and contractors
- Regular monitoring of servers, hosting environments, and ad platforms
7. Duration of Confidentiality
- Confidentiality obligations apply from the date information is disclosed and continue for three (3) years after service completion or termination, unless otherwise agreed in a separate NDA contract.
- Sensitive trade secrets (e.g., algorithms, formulas) will remain confidential indefinitely until they enter the public domain.
8. Ownership of Information
- All Client data, intellectual property, and materials remain the sole property of the Client.
- VRL PRO DIGITAL does not claim ownership of any Confidential Information provided by the Client.
9. Breach of Confidentiality
- If VRL PRO DIGITAL or its representatives breach confidentiality obligations, the Client may pursue remedies available under applicable law.
- Liability is limited to direct damages and capped at the value of services paid in the last 3 months, unless willful misconduct is proven.
10. Optional Formal NDA Agreements
This Statement serves as a general confidentiality assurance for all clients. However, if a Client requires a formal legal Non-Disclosure Agreement (NDA) with specific clauses (jurisdiction, penalties, arbitration), VRL PRO DIGITAL will sign a mutual NDA before commencing work.
11. Governing Law
This Statement is governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts in Vadodara, Gujarat, India.
