1. Purpose

This Service Closure & Termination Policy (“Policy”) outlines the conditions under which projects, retainers, or other service engagements with VRL PRO DIGITAL (“Company,” “we,” “our,” or “us”) may be closed or terminated.

The goal is to ensure fairness, clarity, and protection for both the client and VRL PRO DIGITAL when ending services.


2. Applicability

This Policy applies to all:

  • Fixed Projects (e.g., website design, branding, video production, campaign setup)
  • Retainer/Subscription Services (e.g., SEO, monthly marketing, consulting)
  • Consultations/Training Sessions

3. Termination by Client

3.1 Fixed Projects

  • Clients may request termination at any stage by submitting written notice to info@vrlpro.com.
  • Payments already made are non-refundable beyond the 10-day refund window.
  • Any work completed up to the termination date remains billable and payable.
  • VRL PRO DIGITAL will deliver any completed, paid-for work, but reserves the right to withhold partially completed deliverables until outstanding invoices are settled.

3.2 Retainer/Subscription Services

  • Clients may cancel at any time with 14 days’ written notice.
  • Payments already made are non-refundable after the 10-day refund window.
  • The ₹5,000 security deposit may be forfeited in cases of:
    • Early termination without notice,
    • Unpaid balances,
    • Breach of contract.
  • If the retainer ends properly, with all dues cleared, the deposit will be refunded within 15 Business Days.

3.3 Consultations/Training

  • Sessions cancelled with less than 24 hours’ notice are counted as delivered and non-refundable.
  • Multi-session packages must be used within the validity period; unused sessions are non-refundable.

4. Termination by VRL PRO DIGITAL

We may suspend or terminate services immediately if:

  • The client fails to make payments as per invoice due dates.
  • The client engages in illegal, unethical, or prohibited activities.
  • The client violates our Terms & Conditions, Privacy Policy, or this Policy.
  • The project involves reputational risks or conflicts of interest.

In such cases:

  • Payments made are non-refundable.
  • The security deposit may be forfeited to cover unpaid amounts or damages.
  • Any unpaid invoices become immediately due.

5. Mutual Termination

  • Both parties may agree in writing to terminate a service engagement by mutual consent.
  • Refunds (if any) will be processed as per the Refund & Cancellation Policy after deducting completed work, third-party costs, and fees.

6. Project Pauses & Inactivity

  • Clients may request a pause in services for up to 30 calendar days. Beyond this, the project may be archived, and reactivation may require additional fees.
  • If the client is inactive or unresponsive for more than 30 days, VRL PRO DIGITAL may consider the project closed. Payments already made remain non-refundable.

7. Deliverables on Closure

Upon proper closure or termination:

  • Clients will receive all completed and paid-for deliverables in their final usable format (e.g., website files, campaign reports, video exports).
  • Unfinished or unpaid work remains the property of VRL PRO DIGITAL and will not be transferred.
  • Any third-party licenses, hosting, or ad accounts remain under the client’s responsibility.

8. Data Retention & Access

  • VRL PRO DIGITAL may retain copies of project files, reports, and communications for up to 12 months after closure for record-keeping and compliance.
  • Client access to shared workspaces (Google Drive, Trello, Slack, etc.) will be revoked upon closure unless otherwise agreed.

9. Refunds on Termination

  • Refunds (if applicable) will only be considered if termination occurs within the 10-day refund window as per our Refund & Cancellation Policy.
  • Outside this window, no refunds are issued, though future billing may be stopped for retainers.

10. Outstanding Dues

  • If termination occurs while invoices remain unpaid, the client is legally obligated to clear all dues within 7 calendar days.
  • VRL PRO DIGITAL reserves the right to pursue collection, apply the security deposit, and/or initiate legal action for recovery.

11. Force Majeure

Neither party shall be liable for termination delays caused by events beyond reasonable control, including natural disasters, pandemics, strikes, or government restrictions.


12. Governing Law & Jurisdiction

This Policy is governed by the laws of India. Any disputes will be subject to the jurisdiction of the courts in Vadodara, Gujarat, India.


13. Updates to This Policy

We may update this Policy at any time. Updates will be posted on this page with a revised effective date. Continued use of our Services constitutes acceptance of the updated Policy.
